This property is more fully known by the current system of numbering as being 60  Hillside Trace, Dallas, Georgia 30157 and bearing tax identification number of 110.1.4.003.0000, together with all fixtures attached to and constituting a part of said property.
The above-referenced Security Deed, to which reference is hereby made, was given to secure an indebtedness evidenced by a Term Loan Note dated February 5, 2016 in the original principal sum of $18,050,000.00 executed by ASPEN VILLAGE AT LOST MOUNTAIN MEMORY CARE, LLC, and any renewals, extensions, or modifications of any such indebtedness in whole or in part and also all future advances that were made thereunder by MIDCAP FUNDING INVESTMENT IV LLC, its successors and assigns, to Grantor.
The indebtedness secured by said Security Deed has been and is again declared due and payable in full because of, among other events of default, the failure of ASPEN VILLAGE AT LOST MOUNTAIN MEMORY CARE, LLC to make payments when due.
The indebtedness remaining in default, the sale will be made for the purpose of applying the proceeds thereof to the payment of the indebtedness secured by the said Security Deed, expenses of the sale, attorneys’ fees and all other sums secured by the Security Deed, and the remainder, if any, shall be applied as provided by said Security Deed and by law.
The sale may be conducted subject to the Plan, as amended, though Grantor is in default of the Plan, failed to cure its defaults and the Plan expired by its terms in March 2023, and may be confirmed, if necessary, by the United States Bankruptcy Court, Northern District of Georgia, Rome Division, and the U.S. Bankruptcy Code, in case In re: Aspen Village At Lost Mountain Memory Care, LLC, Chapter 11 Case No. 19-40263-BEM. Said property will be sold subject to the following: (1) any outstanding ad valorem taxes (including taxes which are a lien, whether or not yet due and payable); (2) the right of redemption of any taxing authority; (3) any matters which might be disclosed by an accurate survey and inspection of the property; and (4) any assessments, liens, encumbrances, zoning ordinances, restrictions, covenants, and matters of record superior to the Security Deed first set out above.
